投资本项目必须是认证合格投资人（Accredited Investor）- 是指有丰富投资经验且能够自负盈亏的投资者，符合美国证券交易委员会条例D第501款（Regulation D Rule 501）。

You are an “Accredited Investor“ as defined in Rule 501(a) of Regulation D under the Securities Act. An Accredited Investor means any Natural person that has (i) an individual net worth, or joint net worth with his or her spouse, of more than $1,000,000; or (ii) individual income in excess of $200,000, or joint income with his or her spouse in excess of $300,000, in each of the two most recent years and has a reasonable expectation of reaching the same income level in the current year。
